(Site), you are agreeing to be bound by the following terms and conditions. ICRA
Online Ltd. retains the right to change any of these terms and conditions at
any time without any prior notice. Your continued use of the site means that
you accept all new and modified terms and conditions. You should regularly re-visit
the `Terms of Use' link at our site from time to time to stay abreast of any
changes that we may introduce.
ICRA
Online Ltd. (ICRA Online) hereby grants you a limited, non-exclusive,
non-assignable and non-transferable license to access the site provided and
expressly conditioned upon your agreement that all such access and use shall be
governed by all of the terms and conditions set forth in this USER AGREEMENT.
The site as well as the design, information, calculators etc.
contained in this site is the exclusive property of ICRA Online, and nothing in this Agreement shall be construed as
transferring or assigning any such ownership rights to you or any other person
or entity. ICRA Online is free to sell, assign and allow any persons to use the
site at its own discretion. All rights not expressly granted are reserved by
ICRA Online.
It is expressly agreed that ICRA Online allows you to use
the site only for legitimate purposes. You shall not allow any unauthorized
persons to use the Site and in the event of loss or misplacement of the Login
details and or any suspect of such loss or knowledge of any unauthorized access
or usage, you shall immediately inform the same to ICRA Online. ICRA Online has
the right to deny access to the site or any portion thereof without any prior
notice if,
a.
Any
unauthorized access or use is found or suspected.
b.
You
assign or transfer (or attempt the same) any rights granted to you under this
Agreement
c.
You
violate any of the other terms and conditions of this User Agreement.
ICRA Online shall not be liable for any losses incurred by you
due to misplacement or misuse of Authorized Login
It is expressly agreed that you shall not sell, distribute,
rent, lend, assign, lease, sub-license or otherwise transfer any of the rights
granted to you under this Agreement to any third party without the prior
written consent of ICRA Online. Further you shall not allow any third party to
use or access the site directly or indirectly, whether on a time sharing,
remote job entry, facility management, commercial sharing, leasing or on any other
arrangement basis, without the prior written consent of ICRA Online and as
expressly authorized by ICRA Online in the License Agreement.
You shall not reverse engineer, decompile, disassemble,
modify or attempt to modify, directly or indirectly allow or cause a third
party to disassemble or reverse compile the whole or any part of the Site or
merge all or any part of the Site with other computer programs, products or
services.
The site may be used only within
ICRA Online may at its option upgrade, modify and make
additions to the Site from time to time during the subsistence of this
Agreement without any prior notice to the user. ICRA Online shall have the
copyright over the site (including but not limited to any text, article,
report, content, video, audio and applets, incorporated into the Site) and the
accompanying printed materials, if any. All Intellectual Property Rights in or
related to the Site, data, modules, computations and calculations etc. are and
shall remain the exclusive property of ICRA Online Ltd only.
ICRA Online has not given any right to use the Site except
for the limited purposes expressly set forth in this Agreement.
ICRA Online makes no warranty,
guarantee or representation as to the accuracy of the information provided in
the Site including
calculations contained therein and assumes
no responsibility for any loss or damage howsoever suffered from any error or
omission in the information thereon. In no event shall ICRA Online be liable
for any direct, indirect, incidental, consequential, direct or special punitive
or other damages of any nature including, without limitation to damages for any
injury to persons or property, lost business/profits, for negligence, business
reputation, business interruption, loss of business information, for loss of
privacy for failure to meet any duty including of good faith and for pecuniary
of other loss whatsoever arising out of the usage of the site.
ICRA Online and/or its respective suppliers may
make improvements and/or changes in this web site at any time. This site may be
temporarily unavailable from time to time due to required maintenance,
telecommunications interruptions, or other disruptions. ICRA Online shall not
be liable for any loss or liability resulting, directly or indirectly, from
delays or interruptions due to electronic or mechanical equipment failures,
telephone interconnect problems, defects, weather, strikes, walkouts, fire,
acts of God, riots, armed conflicts, acts of war, or other like causes.
NEITHER ICRA ONLINE NOR ANY OF ITS EMPLOYEES, AGENTS,
SUCCESSORS, ASSIGNS, AFFILIATES, GROUP COMPANIES OR SERVICE PROVIDERS SHALL BE
LIABLE TO THE USERS OR OTHER THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL,
SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF USE OF THE SITE OR INABILITY TO
GAIN ACCESS TO OR USE THE SITE OR OUT OF ANY BREACH OF ANY WARRANTY.
In relation to any legal action or proceedings against ICRA
Online in a court of law regarding any matter connected or related to use or
access of this Site, such person accessing this Site irrevocably submits to the
exclusive jurisdiction of the courts of Mumbai and waives any objection to such
proceedings on grounds of venue or on the grounds that the proceedings have
been brought in an inconvenient forum. The governing law in such legal
proceedings referred to above shall be the laws of the
Investments in mutual funds, equity shares, debentures etc,
are subject to market risk and not obligations of or guaranteed by ICRA Online.
ICRA Online does not recommend investment in any particular scheme or fund
house. No representation is being made that usage of the site will or is likely
to achieve profits or losses similar to those shown in any part of the site.
You shall be solely responsible for maintaining and
operating your own computer hardware and all such equipments necessary to
access the Site, and the costs of any such equipment and/or telephone/internet
connections or use, including any applicable taxes, shall be borne solely by
you.
